REDUXI CONTROLLER AND CLOUD – END USER LICENSE AGREEMENT (EULA)

Version 1.0 – Effective as of 1.7.2025

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a legal entity) ("User") and Reduxi FlexCo, a company incorporated under the laws of Austria with its registered office at Europaplatz 2, 1150 Vienna, Austria, registration number FN 628777 y ("Reduxi").

By using the Reduxi Controller or accessing Reduxi Cloud services, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install, use, or access the Reduxi software or cloud services.

1. LICENSE GRANT AND OWNERSHIP

1.1. Hardware Ownership. Upon purchase, you own the physical Reduxi Controller device.

1.2. Software License. The software ("Firmware") embedded in the Reduxi Controller is licensed, not sold. Reduxi grants you a non-exclusive, non-transferable (except as permitted in section 2.3), limited license to use the software solely with the purchased hardware.

2. INCLUDED FEATURES AND FEE-BASED FEATURES – REDUXI CONTROLLER

2.1. Free Features of Reduxi Controller (Licensed in Perpetuity) The following software features on the Reduxi Controller are licensed to the User free of charge in perpetuity, transferable to any future user of the same hardware device:

• Adding and editing of measured/managed devices (Controller Lite max. 3 devices)
• Setting grid limits
• Basic optimization modes (self sufficiency, peak shaving, max consumption, max production)
• Basic non-AI strategies:
  • single-phase current-based control
  • three-phase current-based control
  • Time of use-based control
  • Power based regulation
  • Simple price-based regulation: negative price PV limiting
• Connectivity to Reduxi Cloud
• Communication protocols:
  • OCPP 1.6 protocol
  • Modbus protocol
  • Modbus TCP/IP protocol
  • DLMS protocol
  • DLMS-push protocol
• Remote access from Reduxi Cloud
• Adding, managing & deleting devices & users
• Login protected by username and password

2.2. Paid and Future Features (Controller). Reduxi reserves the right to charge fees for any other Controller features not listed in Section 2.1, whether currently embedded in the software or added in future updates. These fees may take the form of one-time activation charges, subscriptions, or other payment models. Temporary free access to such features does not create a permanent right or obligation to keep them free.

2.3. Transferability. Licensed free features listed in Section 2.1 may be used by any subsequent owner of the Controller, provided that the device remains in original hardware condition.

2.4. Cloud-Linked Features. Some Controller functions depend on having an active Reduxi Cloud account. These features may not function without valid registration.

3. REDUXI CLOUD SERVICES

Reduxi Cloud is a cloud-based platform hosted on Reduxi servers that enables users to:

• View and analyze data from their Reduxi Controller,
• Remotely control the Controller and connected devices,
• Manage user accounts and settings,
• Access additional tools and services.

3.1. License to Use Reduxi Cloud The user does not own any part of the Reduxi Cloud software. Reduxi grants a limited, non-exclusive, revocable license to access and use Reduxi Cloud services only while the user maintains an active account.

3.2. Free Cloud Features The following Reduxi Cloud features are provided free of charge at the time of account registration and will remain free for the duration of the product’s expected lifecycle:

• Adding, managing & deleting devices, users & locations
• Login protected by username and password
• Remote access to Reduxi Controller
• Dashboard - monitoring data
• Overall overview of the organization
• Data capture from Reduxi Controller
• Time of use plan – add, edit
• Pricing plan – add, edit
• SPOT (DayAhead prices), source: ENTSO-E transparency platform, Octopus energy agile
• Currency localization

3.3. Paid Cloud Features and Future Services All other Reduxi Cloud features—whether already available but not listed above, introduced in future updates, or temporarily offered free of charge, may be subject to additional fees. Reduxi reserves the right to charge for these features via one-time payments, subscriptions, or other pricing models. Offering a feature for free temporarily does not imply a commitment to keep it free.

3.4. Subscription Terms and Payments. Reduxi may offer paid features or services on a subscription or one-time fee basis. Users will be clearly informed of the cost and scope of such services before purchase. Subscriptions, if applicable, will automatically renew unless cancelled prior to the renewal date, and are billed to the payment method associated with the user’s Reduxi Cloud account.

4. LIMITATIONS AND USER OBLIGATIONS

4.1. You may not reverse engineer, decompile, disassemble, modify, or create derivative works of any Reduxi software.

4.2. You may not use the software or cloud service for illegal or unauthorized purposes.

4.3. You are responsible for maintaining security of your Reduxi Cloud credentials and for all activities conducted under your account.

5. SUPPORT AND UPDATES

5.1. Reduxi may, at its sole discretion, provide software updates, patches, or upgrades, which may introduce new features, remove or alter existing functionality.

5.2. Reduxi has no obligation to provide feature enhancements or to continue free access to non-listed functions.

5.3. Service Modifications. Reduxi reserves the right to modify or update the functionality of the Reduxi Controller software or Reduxi Cloud services to improve performance, security, compatibility, or user experience. Significant changes will be communicated via the Reduxi website or user email notifications.

5.4. Service Availability. Reduxi Cloud services may be temporarily unavailable due to scheduled maintenance, upgrades, or network outages. Reduxi will use reasonable efforts to notify users in advance of planned service interruptions.

6. TERMINATION

Reduxi may terminate or suspend your license and access to Reduxi Cloud services in case of violation of this Agreement or misuse of the product.

7. DISCLAIMER AND LIABILITY

7.1. Reduxi software and services are provided "as-is" without warranties of any kind. Reduxi disclaims all implied warranties, including fitness for a particular purpose and non-infringement.

7.2. Reduxi shall not be liable for any indirect, incidental, or consequential damages arising from the use of the software or cloud services.

8. GENERAL TERMS

8.1. This Agreement is governed by the laws of the Republic of Slovenia.

8.2. If any provision of this Agreement is held invalid, the remainder shall remain in full force.

8.3. Reduxi reserves the right to update this Agreement, with changes becoming effective upon publication on the Reduxi website. Continued use of the Controller or Reduxi Cloud after such updates constitutes acceptance of the revised terms.

8.4. Governing Language. In the event of any discrepancy between translated versions of this Agreement, the Slovenian language version shall prevail.
